  • Grant Public Prep a non-exclusive, royalty-free, worldwide, perpetual license to use, display, reproduce, and distribute your UGC in connection with our business
  • Acknowledge that we are not responsible for any UGC submitted by other users

We will respond to valid takedown notices and, upon proper notice, will remove or disable access to allegedly infringing content. Repeat infringers will have their access terminated. 9. Dispute Resolution — Mandatory Arbitration (ICC Rules)

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be finally settled by arbitration administered by the International Chamber of Commerce (ICC) in accordance with the ICC Rules of Arbitration in effect at the time of the dispute.

  • Number of Arbitrators: One (1), unless the ICC Court determines that three are required given the complexity or value of the dispute
  • Seat of Arbitration: Washington, D.C., United States
  • Language: English
  • Governing Law: The laws of the District of Columbia, United States, without regard to conflict of law principles

The award rendered by the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Nothing in this clause shall prevent either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

Class Action Waiver: To the fullest extent permitted by law, you waive any right to bring or participate in any class action, collective action, or representative proceeding in connection with any dispute covered by this arbitration clause.


10. Governing Law These Terms are governed by the laws of the District of Columbia, United States, without regard to conflict of law principles, except as superseded by the arbitration clause above.


11. Changes to These Terms We reserve the right to modify these Terms at any time. Material changes will be posted with an updated effective date. Continued use of the site after changes constitutes acceptance.
